Terms of Service (Baker Agreement)

1. About these terms

These terms of service ("Terms") govern your use of the Shedful platform ("Shedful", "we", "us", "our"), accessible at shedful.app. By creating an account and using Shedful, you ("baker", "you") agree to these Terms in full.

Shedful is currently operated by an individual/sole trader based in England. References to "Shedful" in these Terms refer to that operator until a company is formally incorporated, at which point these Terms will be updated accordingly.

2. The service

Shedful provides software tools to help you manage an unattended honesty-box style stall ("shed"), including menu management, stock tracking, sales recording, analytics, and optional card payment processing via Stripe Connect.

We are a technology platform, not a party to sales between you and your customers. You are solely responsible for the products you sell, including their quality, legality, labelling, allergen information, and compliance with all applicable food safety laws.

3. Your account

You must be at least 18 years old and have capacity to enter into a legally binding contract to use Shedful. By registering, you confirm this.

You are responsible for maintaining the security of your account credentials and for all activity that takes place under your account. Please notify us immediately at support@shedful.app if you suspect unauthorised access.

4. Subscription tiers and fees

4.1 Tiers

Shedful offers three tiers:

  • Hobby (Free) — core menu, stock management, and public QR store. No card payments.
  • Maker (Pay-as-you-go)— adds card payment processing. A platform fee of 2% + 20p is deducted from each transaction automatically via Stripe Connect, in addition to Stripe's own processing fees.
  • Pro — adds full analytics, CSV export, and a reduced platform fee of 1.75% + 20p per transaction. Billed at £9.99/month.

4.2 Payment processing

Card payments on your store are processed by Stripe. By connecting a Stripe account, you agree to Stripe's Connected Account Agreement and Stripe's Services Agreement. Shedful's platform fee is deducted automatically before funds reach your Stripe account.

4.3 Pro subscription billing

Your Pro subscription is billed monthly in advance. Payments are processed by Stripe. If a payment fails, your account will revert to the Maker tier at the end of your current billing period.

5. Acceptable use

You agree not to use Shedful to:

  • Sell products that are illegal, counterfeit, or unsafe.
  • Misrepresent the nature, quality, or ingredients of your products.
  • Circumvent or attempt to circumvent any payment processing fees.
  • Use the platform in any way that could harm Shedful or its users.

We reserve the right to suspend or terminate accounts that breach these terms.

6. Food safety and legal compliance

You are responsible for ensuring your products comply with all applicable laws and regulations, including but not limited to:

  • The Food Safety Act 1990 and associated regulations.
  • The Food Information Regulations 2014 (allergen labelling).
  • Any licensing requirements applicable to your local authority.

Shedful does not provide legal or food safety advice. You should consult the relevant authorities or a qualified professional if you are unsure of your obligations.

7. Refunds and customer disputes

You are responsible for handling refund requests and disputes from your customers. Shedful is not a party to sales made through your store and has no obligation to mediate or resolve disputes between you and your customers.

You must:

  • Set a refund policy and display it on your store via your shed settings.
  • Provide a contact method so customers can reach you with queries or complaints. Shedful provides a messaging feature for this purpose.
  • Handle any refunds directly through your Stripe account.

In the event of a card chargeback raised by a customer with their bank, Stripe's standard dispute process applies. Chargebacks are handled between the customer, their card provider, and Stripe. Shedful has no involvement in chargeback outcomes, and the baker is responsible for responding to disputes through the Stripe dashboard.

8. Intellectual property

Shedful and its content (excluding your own content) are owned by us or our licensors. You may not copy, reproduce, or distribute any part of the platform without our written permission.

You retain ownership of your own content (product names, descriptions, images) and grant Shedful a limited licence to display it within the platform for the purpose of providing the service.

9. Availability and changes

We aim to keep Shedful available at all times but cannot guarantee uninterrupted access. We may update, modify, or discontinue features with reasonable notice where possible.

We may update these Terms from time to time. We will notify you of material changes by email or via the platform. Continued use after the effective date of any changes constitutes acceptance.

10. Limitation of liability

To the fullest extent permitted by law, Shedful's liability to you is limited to the total subscription fees paid by you in the three months preceding the claim. We are not liable for indirect losses, loss of revenue, or lost data.

Nothing in these Terms excludes liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded by English law.

11. Governing law

These Terms are governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
